Acceptance of Terms
By accessing our websites, portals, applications, enterprise platforms, or related digital services, you agree to be bound by these Terms and Conditions.
If you are accepting these Terms on behalf of an organization, you confirm that you are authorized to bind that entity and its affiliates that consume the services.
If you do not agree with these Terms, you must discontinue use of the relevant HCTPL services and interfaces.
Definitions
For clarity in interpretation, capitalized terms in these Terms have the meanings assigned in this section, unless otherwise specified in an executed statement of work or master agreement.
- "Services" means HCTPL consulting, software development, managed operations, AI and automation services, recruitment process support, and related digital deliverables.
- "Platform" means any HCTPL-hosted product, dashboard, portal, or enterprise application made available to clients or authorized users.
- "Client Materials" means all data, records, documents, prompts, specifications, and other content provided by or on behalf of a client.
- "Deliverables" means work products, reports, software modules, configurations, and outputs expressly identified in an applicable engagement document.
Eligibility and Authority
You may use the services only if you can form legally binding contracts under applicable law and are not prohibited from receiving the services under any applicable sanctions or export restrictions.
You are responsible for ensuring that your representatives, users, and contractors accessing HCTPL systems are appropriately authorized and trained for lawful and compliant use.
Website Access and Use
We grant a limited, non-exclusive, revocable permission to access our public website and lawful account areas for business and informational purposes in accordance with these Terms.
Availability, features, and content may vary within India based on business, technical, and legal constraints.
You are responsible for your device security, credential confidentiality, and any activity performed through your access channels.
Acceptable and Prohibited Use
You must use the services lawfully, in good faith, and in a manner that does not disrupt infrastructure, compromise security, or infringe third-party rights.
Acceptable Use
- Using services for legitimate internal business operations and approved project objectives.
- Submitting accurate information required for onboarding, support, compliance, and billing.
- Following published technical, security, and integration guidance.
Prohibited Use
- Attempting unauthorized access, penetration testing without written consent, malware distribution, or denial-of-service activity.
- Using services to violate intellectual property, privacy, labor, anti-discrimination, consumer protection, or anti-corruption laws.
- Uploading unlawful, deceptive, or abusive content, including content that facilitates fraud, harassment, or harmful automation.
Scope of Services and Product Availability
HCTPL offers enterprise systems, AI solutions, software services, recruitment support, digital products, and related advisory functions in India; not all offerings may be available in every state or operational context.
Descriptions on the website are informational and do not constitute guaranteed delivery commitments unless included in a signed contract, work order, or statement of work.
We may evolve capabilities, models, integrations, and deployment approaches as technology, regulatory guidance, or client needs change.
Client Engagements and Order of Precedence
Client engagements may be governed by a master services agreement, statement of work, work order, proposal, service schedule, or equivalent signed commercial document.
In case of inconsistency, the order of precedence is: executed master agreement, then statement of work or order form, then service-specific schedules, and finally these Terms for residual matters.
No procurement template, purchase order term, or unilateral policy shall modify the parties' obligations unless expressly accepted in writing by authorized HCTPL representatives.
Commercial Terms, Fees, and Taxes
Fees, billing cycles, payment timelines, and currency are defined in applicable engagement documents. Unless otherwise stated, invoiced amounts are due without set-off or deduction.
Amounts are generally exclusive of applicable taxes, duties, levies, withholdings, or similar governmental charges, including GST and other taxes as required under Indian law.
You are responsible for legally required tax remittances and providing valid documentation for exemptions or treaty benefits. Late payments may result in reasonable finance charges and service restrictions as permitted by law.
Intellectual Property Rights
Except as expressly stated in a written agreement, HCTPL and its licensors retain all rights, title, and interest in pre-existing intellectual property, frameworks, methods, templates, know-how, and platform components.
Subject to payment and contractual scope, clients receive rights in deliverables as specifically granted in the applicable engagement document.
You must not reverse engineer, decompile, copy, or create derivative works of protected components except to the extent such restrictions are prohibited by mandatory law.
AI and Automation Services
AI and automation outputs may be probabilistic, context-dependent, and may require human review before operational, legal, hiring, financial, or safety-critical use.
You remain responsible for instructions, prompts, source data quality, and final business decisions taken using model-assisted outputs.
HCTPL does not represent that AI outputs are always complete, error-free, non-biased, or suitable as sole evidence for regulated decisions. Clients must implement appropriate governance and oversight.
Confidentiality and Data Handling
Each party shall protect confidential information using reasonable and appropriate safeguards and shall not disclose it except as needed for lawful performance, professional advice, or legal obligations.
We process client information in line with contract terms, security controls, and applicable Indian data protection law, including the Digital Personal Data Protection Act, 2023 and rules thereunder as and when in force.
Confidentiality obligations survive termination for the period stated in applicable agreements or, if unstated, for a commercially reasonable period consistent with the nature of the information.
Warranties and Service Disclaimer
Unless expressly set out in a signed agreement, services and website content are provided on an 'as is' and 'as available' basis.
To the maximum extent permitted by applicable law, HCTPL disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
Nothing in these Terms limits rights that cannot be excluded under non-waivable consumer or statutory protections under applicable Indian law.
Limitation of Liability
To the extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, goodwill, data, or business opportunity.
Except for excluded liabilities that cannot be limited by law, each party's aggregate liability arising from or related to these Terms is limited to the amounts paid or payable for the relevant services during the contractually defined lookback period.
These limitations allocate commercial risk between sophisticated parties and apply regardless of the legal theory asserted.
Indemnification
You agree to defend, indemnify, and hold harmless HCTPL, its directors, employees, and affiliates from claims arising out of your unlawful use, policy violations, rights infringements, or misuse of services.
HCTPL will defend eligible third-party claims that a contracted deliverable infringes applicable intellectual property rights, subject to prompt notice, cooperation, and available remediation options.
Indemnity obligations are subject to exclusions, procedures, and limitations set out in the governing commercial agreement.
Recruitment and Talent Services Disclaimer
Where HCTPL provides recruitment process support, candidate sourcing, screening coordination, or workforce operations, final hiring decisions remain solely with the client employer.
HCTPL does not guarantee candidate acceptance, continued employment, immigration outcomes, visa approvals, licensing outcomes, or performance beyond agreed service scope.
Clients are responsible for lawful employment practices, wage and labor compliance, equal opportunity obligations, and onboarding requirements under applicable Indian law.
Third-Party Services and Integrations
Services may include or interoperate with third-party software, cloud hosting, APIs, payment providers, communication systems, and data sources not operated by HCTPL.
Third-party components are governed by their own terms, privacy notices, and service levels. HCTPL is not responsible for outages, policy changes, or data practices attributable solely to third-party providers.
You are responsible for evaluating whether third-party integrations meet your legal, procurement, and technical requirements.
Privacy and Cookies
Use of personal data and tracking technologies is described in our Privacy Notice and Cookie Policy, which are incorporated by reference for informational and compliance context.
By using our services, you acknowledge that data handling practices are described in our Privacy Notice and apply to processing within India unless a signed agreement states otherwise.

Security and Responsible Disclosure
HCTPL maintains a risk-based security program designed for enterprise operations, including administrative, technical, and organizational controls proportionate to service context.
Security measures evolve over time and do not guarantee absolute protection against every threat vector, zero-day vulnerability, or external attack.
If you identify a potential vulnerability, report it responsibly and avoid exploitative testing without explicit written authorization.
Suspension, Termination, and Force Majeure
We may suspend or restrict access where necessary to protect platform integrity, investigate suspected misuse, address legal obligations, or respond to material payment defaults.
Either party may terminate engagements according to contractual notice terms, cure rights, and survival provisions stated in the governing agreement.
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, labor disruptions, government actions, critical infrastructure failures, and major internet or cloud outages.
Compliance, Sanctions, and Restricted Use
You must not use or access services in violation of applicable Indian law, including export control, trade compliance, and sanctions restrictions administered by competent Indian authorities.
You represent that you and your beneficial owners are not prohibited parties under applicable Indian law and are accessing services from within India for lawful business purposes.
You are responsible for compliance with Indian labor, procurement, tax, and sector-specific obligations applicable to your use of the services.
Governing Law, Disputes, Modifications, and Contact
These Terms are governed by the laws of India. Courts with competent jurisdiction in India shall have exclusive jurisdiction over disputes relating to these Terms, unless the parties agree in a signed master agreement or statement of work to arbitration or another dispute mechanism seated in India.
HCTPL may update these Terms periodically to reflect legal, operational, or product changes. The updated version becomes effective upon publication unless a later date is stated.
